When you use the service function of Tikoai Procurement (see details: https://b2b.shoptike.com/help/func ）At this time, it represents that you have fully read, understood, and agreed to accept all the contents of this agreement, and have reached an agreement with Tikoai Procurement to become a "user" of Tikoai Procurement. During the process of reading this agreement, if you do not agree with this agreement or any of its terms, you should immediately stop using any Tikoai procurement service functions.
We will revise this agreement based on changes in relevant laws and regulations, the company's operating conditions, adjustments to business strategies, and software upgrades. After the updated agreement terms are published, they will effectively replace the original agreement terms. You can use this service page to view the latest version of the agreement terms at any time. If you do not agree to the changes in the agreement, please immediately stop using this software and service. If you continue to use this service, it will be deemed as acceptance of the changes to this agreement.
If you are a minor under the age of 14, we recommend that you ask your guardian to carefully read this agreement and use our products and/or services or provide us with information with the consent of your guardian. Before you start using our services, you should have the civil capacity required by the laws of the People's Republic of China that is appropriate for your actions. 3. Tikoai Procurement Platform Rules: including all rules, interpretations, announcements, and other content that have been published and will be published in all Tikoai Procurement Platform Rules channels.
2、 Scope of Agreement
1. Contracting party
This agreement is jointly entered into by you and Tikoai Procurement, and has contractual effect on both you and Tikoai Procurement.
2. Supplementary Agreement
Due to the rapid development of the Internet, the terms listed in this agreement between you and Tikoai Procurement cannot completely list and cover all the rights and obligations between you and us, and the existing agreements cannot guarantee that they will fully meet the needs of future development. Therefore, Tikoai Procurement（ https://b2b.shoptike.com ）All rules on the website are supplementary agreements to this agreement, which are inseparable from this agreement and have the same legal effect. If you use the services provided by the Love Procurement Platform, it is deemed that you agree to the above supplementary agreement.
3、 Account registration and usage
The login account of Tikoai Procurement is compatible with the Tikoai account. During the account registration process, you should agree to the "Tikoai User Agreement"（ https://passport.shoptike.com/static/passpc-account/html/protocal.html ）Tiko Privacy Protection Statement（ https://www.shoptike.com/duty/yinsiquan.html ）Complete the entire registration process according to the terms and follow the prompts on the page. After you register successfully, TiKe Company will provide you with a user account and corresponding password, which you are responsible for keeping. You can also log in using a mobile phone number SMS verification code. Please keep the verification code safe; Users shall be legally responsible for all activities and events conducted under their user account. Once you log in to your TikTok account and use TikTok's purchasing services, it is deemed that you have fully read, understood, and agreed to accept the TikTok User Agreement（ https://passport.shoptike.com/static/passpc-account/html/protocal.html ）General Principles of Tiko Privacy Policy（ https://www.shoptike.com/duty/yinsiquan-policy.html ）.
4、 Tikoai Procurement Services and Standards
[Service Overview] You have the right to enjoy browsing, inquiring, consulting and other services related to products and/or manufacturers on Tikoai Procurement. The services provided by Tikoai Procurement are diverse, and you can browse them on the Tikoai Procurement platform for more details.
1. Browse of products and/or manufacturers
During your browsing of the Tikoai Procurement website and client, Tikoai Procurement provides you with functions such as product classification, keyword search, and filtering to better match your needs. You can browse the products and/or manufacturers that interest you, and further communicate and conduct online or offline transactions.
2. Inquiry service
Tikoai Procurement Platform supports user form inquiry, IM consultation, and telephone consultation
1) Form inquiry can be conducted for both online and specified inquiries
Full network inquiry is based on the user's own purchasing needs, accurately matching merchants and/or service providers across the network for inquiry. You can inquire about 10 products at once. When you click the "Full network inquiry" button to enter the inquiry form or check "Allow Tike to distribute the inquiry form to more high-quality suppliers" in the form, it is considered that you agree to Tike Ai Procurement distributing your inquiry information to high-quality suppliers.
Designated inquiry is based on the purchasing needs of the user, and the designated merchant conducts the inquiry. When you enter the inquiry form through a certain product detail page and uncheck the box "Allow Tiko to distribute the inquiry form to more high-quality suppliers", it is considered that you agree to Tiko Ai Procurement distributing your inquiry information to the suppliers to which the product belongs.
2) IM Consultation
When browsing products and/or manufacturers that interest you, you can communicate and consult with sellers in real time through IM tools.
3) Telephone consultation
When browsing the products and/or manufacturers that interest you, click the "dial phone" button to obtain the merchant's contact information.
3. Purchase goods/services
The Tikoai Procurement Platform currently supports the procurement of some products/services (currently limited to certain industries, subject to actual display on the page). When browsing the products and/or services that interest you, click on "Order Now" to make an online purchase. The procurement function also includes but is not limited to online payment settlement, refund, refund and return, etc.
4. When you inquire and purchase goods/services on the Tikoai procurement platform:
1) Please make sure to carefully confirm important details such as the name, price, quantity, model, specifications, and size of the purchased goods, and verify your contact address, phone number, recipient information, etc. when placing the purchase order. If the recipient you fill in is not yourself, you shall bear the legal consequences arising from the actions and expressions of the recipient.
2) You fully understand and agree that Tikoai Procurement is a commercial trade information display platform mainly aimed at enterprise users rather than the consumer purchasing market. Your inquiries and purchases should be based on real trade needs, and there should be no malicious inquiries, purchases, or rights protection activities that disrupt the normal service order of Tikoai Procurement Platform. Based on the need to maintain the service order and security of the Tikoai procurement platform, once the Tikoai procurement platform discovers the above situation, it can actively execute operations such as closing relevant service orders/transaction orders.
3) Trade restrictions
You promise to comply with all applicable laws and regulations related to import and export controls, trade restrictions, and economic sanctions. If you violate the aforementioned commitments, the Tikoai procurement platform may stop providing relevant services upon discovering the above situation.
You must ensure that you are not the subject of any trade restrictions, economic sanctions, or other legal or regulatory restrictions imposed by any country, region, or international organization, and have not directly or indirectly provided funds, goods, or services to the aforementioned parties. Otherwise, you should stop using the services provided by the Tikoai Procurement Platform. At the same time, you understand that violating the above requirements may cause you to be unable to register and use Tikoai Procurement Services normally.
You undertake to comply with all applicable import and export controls, trade restrictions, and economic sanctions related laws and regulations regarding the goods, services, software, and technology obtained through the Tikoai Procurement Platform (including software and technology provided by the Ai Procurement Platform). Based on the need to maintain service order and security, if you violate the aforementioned commitments, Tikoai Procurement may proactively execute actions such as closing relevant service orders/transaction orders and disposing of accounts upon discovering the above situation.
5. Ways to handle transaction disputes
1) You can reach transactions with other users through the transaction methods supported by the Tikoai procurement platform and comply with the corresponding transaction and payment rules. You understand and agree that the Tikoai Procurement Platform only serves as a place for users to search for trading partners, negotiate transactions for goods or services, and obtain various trade-related services. The Tikoai Procurement Platform will not participate in transactions between users, nor will it involve legal relationships and disputes arising from transactions between users. Please note that Tikoai Procurement cannot control or guarantee the authenticity, legality, or accuracy of commercial information, nor can it control or guarantee the quality, safety, or legality of the items involved, as well as the ability of all parties involved in the transaction to fulfill their obligations under the trade agreement. The Tikoai procurement platform cannot and will not control whether the parties to the transaction can fulfill their contractual obligations. In addition, you should note that the risk of trading with people who act fraudulently is objectively present, and we hope that you will be cautious and carefully verify when using the services of Tikoai Procurement.
2) When you have disputes with other users during the use of the Tikoai procurement platform services, either you or any other user has the right to choose the following ways to resolve them:
（1） Negotiate independently with the disputing party;
（2） Apply for dispute resolution to the Tikoai procurement platform;
（3） Request mediation from consumer associations or other legally established mediation organizations;
（4） File a complaint with the relevant administrative department;
（5） Submit to the arbitration institution for arbitration in accordance with the arbitration agreement reached with the disputing party (if any);
（6） File a lawsuit with the people's court.
6. Cost
1) Tiko has paid a significant amount of cost for the services provided to you by Tiko Ai Procurement Platform. Apart from the fee based services explicitly stated by Tiko Ai Procurement Platform, the services provided to you by Tiko Ai Procurement are currently free of charge. If Tikoai Procurement charges you reasonable fees in the future, Tikoai Procurement will take reasonable measures and notify you in advance through legal procedures and in the manner stipulated in Article 8 of this Agreement, ensuring that you have sufficient choice.
2) All taxes payable, as well as related hardware, software, communication, network services, and other expenses incurred by you due to conducting transactions, obtaining paid services from Tikoai Procurement, or accessing Tikoai Procurement servers, shall be borne by you.
7. Limitation of Liability
Tikoai Procurement shall fulfill the corresponding basic guarantee obligations in accordance with the law, but shall not be liable for breach of contract in the event of obstacles to contract performance, defects in performance, delays in performance, or changes in performance content caused by the following reasons:
（1） Due to force majeure factors such as natural disasters, strikes, riots, wars, government actions, judicial administrative orders, etc;
（2） Due to public service factors such as power supply failures, communication network failures, or third-party factors;
（3） Due to routine or emergency equipment and system maintenance, equipment and system failures, network information and data security, and other factors, despite the good faith management of Tikoai Procurement.
Tikoai Procurement only provides services within the platform to you. You understand that the information on the Tikoai Procurement platform is self published by merchants and may have risks and defects. The Tikoai procurement team will establish relevant inspection and monitoring systems in accordance with the law to ensure your legal rights and good experience on the Tikoai procurement platform as much as possible. At the same time, given the massive amount of information and the separation of information and physical objects in the information network environment of the Tikoai procurement platform, Tikoai procurement cannot review the information of goods and/or services one by one, nor can it review the quality, safety, legality, authenticity, and accuracy of the goods and/or services involved in the platform one by one. Therefore, you should exercise caution in your judgment. If you discover any harmful information or behavior, please contact and provide feedback to Tikoai Procurement in a timely manner. Tikoai Procurement will handle harmful information and behavior in a timely manner.
5、 Protection and Authorization of User Information
1. Protection of Personal Information
1) Protecting users' personal information is a fundamental principle of Tiko Company, and Tiko Company will take reasonable measures to protect users' personal information. Except as provided by laws and regulations, TiKe Company will not disclose or reveal users' personal information to third parties without their permission. When you use the services provided by Tikoai Procurement, you agree that Tikoai Procurement shall comply with the privacy policy published on the Tikoai Procurement platform（ https://b2b.shoptike.com/agrt/privacy ）Collect, store, use, disclose, and protect your personal information. Tiko Company adopts professional encryption storage and transmission methods for relevant information to ensure the security of users' personal information.
2) In the process of applying for this service, you need to fill in some necessary information. Please keep this information true, accurate, legal, and valid, and pay attention to updating it in a timely manner, so that TiKe Company can provide you with timely and effective assistance or better serve you. According to relevant laws, regulations, and policies, please provide your true identity information. If the information you provide is incomplete or inaccurate, you may not be able to use this service or may be restricted during use.
3) In general, you can browse and modify the information you submit at any time, but for security and identity recognition reasons (such as account appeal services), you may not be able to modify the initial registration information and other verification information provided during registration.
4) Tiko Company will use various security technologies and procedures to establish a comprehensive management system to protect your personal information from unauthorized access, use, or disclosure.
5) Without your consent, Tiko Company will not disclose your personal information to any company, organization, or individual outside Tiko Company, except as otherwise provided by laws and regulations.
6) Tiko Company attaches great importance to the protection of personal information of minors. If you are a minor under the age of 18, you should obtain written consent from your parents or legal guardians before using the services purchased by Tikoai.
7) You should fully respect the personal information of anyone, including but not limited to other users, that you learn, receive, or have access to through this service. You should not collect, copy, store, disseminate, or use the personal information of other users in any other way. Otherwise, you will be responsible for any consequences arising therefrom.
2. Guarantee and Authorization of Non Personal Information
You declare and warrant that you have the corresponding and legal rights to the information you publish. Otherwise, Tikoai Procurement may delete or block the information you post in accordance with the law or this agreement.
You should ensure that the information you post does not contain the following content:
（1） Violating the prohibitive provisions of national laws and regulations;
（2） Political propaganda, feudal superstition, obscenity, pornography, gambling, violence, terror, or instigation of crime;
（3） Fraudulent, false, inaccurate, or misleading;
（4） Infringing on the intellectual property rights of others or involving third-party trade secrets and other proprietary rights;
（5） Insulting, defaming, intimidating, or involving the privacy of others that infringe upon their legitimate rights and interests;
（6） There are viruses, trojans, crawlers, and other malicious software and program codes that may damage, tamper with, delete, or affect the normal operation of any system on the Tikoai Procurement Platform, or illegally and secretly obtain data and personal information of the Tikoai Procurement Platform and other users;
（7） Other content that violates social public interest or public morality, or is not suitable for publication on the Tikoai Procurement Platform in accordance with relevant Tikoai Procurement Platform agreements and rules.
6、 User's breach and handling
1. If any of the following situations occur, it shall be deemed as a breach of contract by you:
（1） Violating relevant laws and regulations when using the Tikoai procurement platform services;
（2） Violation of the provisions of this agreement or its supplementary agreement (i.e. Article 2.2 of this agreement).
To adapt to the development of the industry and meet the needs of a large number of users for efficient and high-quality services, you understand and agree that Tikoai Procurement may agree on the procedures and standards for breach of contract determination in the rules of the Tikoai Procurement platform.
2. Default handling measures
[Information Processing] If the information you publish on the Tikoai Procurement platform constitutes a breach of contract, Tikoai Procurement may immediately delete or block the corresponding information according to the corresponding rules.
[Behavioral Restrictions] If your actions on the Tikoai Procurement Platform, or actions that have an impact on the Tikoai Procurement Platform and its users but have not been implemented on the Tikoai Procurement Platform, constitute a breach of contract, Tikoai Procurement may suspend the provision of some or all services to you in accordance with the corresponding rules. If your behavior constitutes a fundamental breach of contract, Tikoai Procurement may seal your account and terminate the provision of services to you.
[Publicity of Handling Results] TiKeAi Procurement may publicize the information on the handling measures for your above-mentioned breach of contract and other illegal information confirmed by effective legal documents of national administrative or judicial authorities on the TiKeAi Procurement platform.
3. Compensation liability
If your actions cause losses (including direct economic losses, goodwill losses, and indirect economic losses such as external compensation, settlement payments, legal fees, litigation costs, etc.) to Tikoai Procurement and/or its affiliated companies, you shall compensate Tikoai Procurement and/or its affiliated companies for all of the aforementioned losses.
If your actions result in third-party claims against Tikoai Procurement and/or its affiliated companies, Tikoai Procurement and/or its affiliated companies may recover all losses from you after assuming financial obligations to the third party.
7、 Change of Agreement
Tikoai Procurement may modify this agreement and supplementary agreements from time to time in accordance with changes in national laws and regulations, as well as the need to maintain transaction order and protect consumer rights. The modified agreements and supplementary agreements (hereinafter referred to as "changes") will be notified to you through legal procedures and in the manner stipulated in Article 8 of this agreement.
If you do not agree with the change, you have the right to contact Tikoai Procurement for feedback before the effective date of the change. If the feedback is adopted, Tikoai Procurement will adjust the changes accordingly.
If you still do not agree with the changes that have already taken effect, you should stop using Tikoai procurement services from the effective date of the changes, and the changes will not have any effect on you; If you continue to use Tikoai procurement services after the change has taken effect, it will be deemed that you agree to the effective change.
8、 Notice
1. When you register as a user of the Tikoai Procurement Platform and receive Tikoai Procurement services, you should provide Tikoai with real and valid contact information (including your email address, contact phone number, contact address, etc.). If there is a change in contact information, you have the obligation to update the relevant information in a timely manner and maintain a status that can be effectively contacted.
2. The account generated by you when registering as a user of Tikoai Procurement for logging into the Tikoai Procurement platform to receive instant messages such as internal messages and system messages also serves as your valid contact information.
3. Tiko will deliver various notices to you through one or several of the above contact information, and the content of such notices may have a significant positive or negative impact on your rights and obligations. Please pay attention to it in a timely manner.
4. You have the right to obtain commercial information such as product/service advertisements that interest you through the phone number or email address you provided during registration.
5. Tikoai Procurement will send you notifications through the above contact information, including written notifications sent electronically, including but not limited to announcements on the Tikoai Procurement platform, sending mobile text messages to the contact phone number you provided, sending electronic emails to the email address you provided, sending system messages and internal message information to your account. Once successfully sent, it will be deemed delivered; A written notice sent on paper shall be deemed delivered on the fifth natural day after mailing to the provided contact address.
6. For any disputes arising from trade activities on Love Procurement, you agree that judicial authorities (including but not limited to people's courts) may serve legal documents (including but not limited to litigation documents) to you through modern communication methods such as mobile phone text messages, emails, or mail. The mobile phone number, email address, and other contact information designated by you for receiving legal documents shall be the mobile phone number, email address, and other contact information provided by you during the registration and update of TiKe. The judicial authorities shall consider the legal documents delivered to the above contact information. The mailing address you specified is your legal contact address or a valid contact address provided by you.
7. You agree that the judicial authorities may use one or more of the above delivery methods to deliver legal documents to you. The judicial authorities may use multiple methods to deliver legal documents to you, and the delivery time shall be based on the first delivery method mentioned above.
8. You agree that the above delivery method is applicable to all stages of judicial proceedings. If entering into litigation procedures, including but not limited to first instance, second instance, retrial, execution, and supervision procedures.
9. You should ensure that the contact information provided is accurate, valid, and updated in real-time. If the legal documents cannot be delivered or are not delivered in a timely manner due to inaccurate contact information provided or failure to inform the updated contact information, you shall bear the legal consequences that may arise from this.
9、 Termination of the Agreement
1. Termination situation
（1） If you violate the provisions of this agreement, Tikoai Procurement shall terminate this agreement in accordance with the breach clause;
（2） If you engage in activities such as stealing someone else's account, posting prohibited information, defrauding others of their property, selling counterfeit goods, disrupting market order, or using improper means for profit, Tikoai Procurement will terminate this agreement in accordance with platform rules and reserve the right to pursue your civil or criminal liability;
（3） In addition to the above situations, due to your repeated violations of the relevant regulations of the Tikoai Procurement Platform and the severity of the circumstances, Tikoai Procurement has seized your account in accordance with the platform rules;
（4） Your account has been reclaimed by Tencent in accordance with this agreement;
（5） You have engaged in fraud, publishing counterfeit/infringing goods, infringing on the legitimate rights and interests of others, or other serious illegal and breach of contract behaviors on the Tikoai procurement platform;
（6） Other situations where the service should be terminated.
2. Handling after termination of the agreement
After the termination of this agreement, except as expressly provided by law, Tikoai Procurement shall not be obligated to disclose any information in your account to you or any third party designated by you.
After the termination of this agreement, Tikoai Procurement shall still enjoy the following rights:
（1） Continue to save the various information listed in Article 5 of this agreement that you have retained on the Tikoai Procurement Platform;
（2） For your past breach of contract, Tikoai Procurement can still hold you liable for breach of contract based on this agreement.
3. After the termination of this agreement, if you generate online transaction orders using the procurement services provided by Tikoai Procurement during the term of this agreement, Tikoai Procurement may notify the counterparty and decide whether to close such transaction orders based on the counterparty's wishes; If the counterparty requests to continue to perform, you shall continue to perform the provisions of this agreement and the transaction order for such transaction order, and bear any losses or additional costs incurred as a result.
10、 Application of Law, Jurisdiction, and Others
The formation, effectiveness, interpretation, revision, supplementation, termination, execution, and dispute resolution of this agreement shall be governed by the laws of the mainland of the People's Republic of China; If there are no relevant legal provisions, refer to commercial and/or industry practices.
【 Jurisdiction 】 Any disputes arising from or related to your use of Tikoai Procurement Services shall be resolved through negotiation between Tikoai Procurement and you. When negotiation fails, either party may bring a lawsuit to the people's court with jurisdiction over the defendant's location.
Any provision of this Agreement shall be deemed null and void or unenforceable, and such provision shall be deemed separable without affecting the validity and enforceability of the remaining provisions of this Agreement.
